1. Agreement to Terms

By accessing and using Instiy ("Platform," "Website," "Service," "we," "our," or "us"), you agree to be bound by these Terms of Use ("Agreement"). If you do not agree to these terms, please do not use our Platform.

These Terms of Use are governed by and interpreted in accordance with the laws of the Republic of Ghana, including but not limited to:

  • Data Protection Act, 2012 (Act 843)

  • Ghana Constitution, 1992

  • Consumer Protection Act

  • Electronic Communications Act, 2008 (Act 775)

  • Criminal Code, 1960 (NRCD 29)

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting. Your continued use constitutes acceptance of the modified terms.

2. Description of Service

Instiy is a digital marketplace that connects buyers and sellers of products and services. Our Platform facilitates transactions between users but does not directly provide goods or services. We provide the infrastructure for:

  • Product and service listings

  • User communication and messaging

  • Transaction processing and payment handling

  • Dispute resolution and mediation

  • Rating and review systems

  • User account management

3. Eligibility and Account Requirements

3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Platform. By registering, you represent and warrant that:

  • You are of legal age

  • You have the authority to enter this Agreement

  • All information provided is accurate and current

  • You are not prohibited from using our services

  • You comply with all applicable laws

  • Violate intellectual property rights

Platform Abuse:

  • Launch attacks on Platform infrastructure

  • Use bots or automated tools without permission

  • Scrape or crawl our website without authorization

  • Circumvent security measures

  • Create fake accounts or impersonate others

Fraudulent Conduct:

  • Make false claims about products/services

  • Engage in price manipulation

  • Conduct unauthorized transactions

  • Use stolen payment methods

  • Provide false shipping information

  • Return fraud or false injury claims

Harassment and Threats:

  • Harass, threaten, or intimidate users

  • Make discriminatory comments

  • Share private information without consent

  • Engage in cyberbullying

  • Make threats of violence

Content Violations:

  • Post pornographic or sexually explicit content

  • Share violent or graphic imagery

  • Promote hate speech or discrimination

  • Advertise unlicensed services

  • Share malware or viruses

4.2 Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations when using this Platform.

5. Seller Obligations and Policies

5.1 Seller Requirements

If you operate as a seller on Instiy:

  • You own or have rights to the products/services offered

  • All descriptions are accurate and non-misleading

  • You comply with all product safety regulations

  • You maintain appropriate business licenses

  • You honor stated shipping times and policies

  • You maintain professional communication standards

5.2 Prohibited Seller Conduct

Sellers must not:

  • Misrepresent product conditions or specifications

  • Engage in price gouging or unfair pricing

  • Require payment through unauthorized channels

  • Pressure buyers into leaving positive reviews

  • Sell counterfeit or stolen goods

  • Violate intellectual property rights

  • Redirect transactions off-platform

5.3 Product and Service Standards

  • Products must be as described and in stated condition

  • Services must be performed professionally and timely

  • Sellers must respond to inquiries within stated timeframes

  • Return policies must comply with Platform standards

  • Warranty information must be clearly disclosed

5.4 Seller Verification and Suspension

  • Sellers must maintain current verification status

  • We may verify seller business information

  • Sellers with numerous complaints may be suspended

  • Suspended sellers may appeal through our review process

6. Buyer Protections and Rights

6.1 Buyer Safeguards

Instiy provides protections including:

  • Secure payment processing

  • Dispute resolution services

  • Money-back guarantees for undelivered items

  • Protection against fraud and counterfeit goods

  • Communication channel with sellers

6.2 Buyer Responsibilities

Buyers agree to:

  • Provide accurate delivery information

  • Communicate concerns promptly with sellers

  • Use dispute resolution before leaving negative feedback

  • Not abuse return policies

  • Accept responsibility for items delivered to correct address

6.3 Disputes and Returns

  • Buyers must initiate disputes within the specified timeframe

  • Platform will attempt mediation between parties

  • Returns must comply with seller's stated policy

  • Refunds process according to payment method

  • Final decisions made by Platform dispute team

7. Payment and Transactions

7.1 Payment Methods and Processing

  • Instiy accepts multiple secure payment methods

  • payments are processed through authorized payment providers

  • Payment information is encrypted and secured

  • We do not store full credit card information

  • Transactions are subject to payment processor terms

7.2 Pricing and Fees

  • Sellers are responsible for accurate pricing

  • Platform fees are disclosed before purchase

  • Taxes are calculated based on applicable jurisdictions

  • Price changes require 24-hour notice

  • Promotional codes are subject to stated terms

7.3 Refunds and Chargebacks

  • Refunds follow the seller's stated policy

  • Platform processes refunds through original payment method

  • Chargebacks without dispute resolution may result in suspension

  • Repeated chargebacks may terminate seller account

8. Intellectual Property Rights

8.1 Platform Content

  • Instiy retains all rights to Platform design and functionality

  • Our trademarks, logos, and branding are protected

  • You may not reproduce Platform content without permission

  • Source code and algorithms are proprietary

8.2 User-Generated Content

By posting content on Instiy, you grant us:

  • Non-exclusive license to use content

  • Right to reproduce and distribute content

  • Right to modify for Platform purposes

  • Right to display in searches and recommendations

8.3 Intellectual Property Infringement

  • Users warrant they own/have rights to posted content

  • Users agree not to infringe third-party IP rights

  • We respond to DMCA notices as required by law

  • Repeat infringers face account termination

9. Limitation of Liability

9.1 Disclaimer of Warranties

The Platform is provided "AS IS" without warranties of any kind. We disclaim:

  • Merchantability and fitness for particular purpose

  • Non-infringement of third-party rights

  • Uninterrupted or error-free operation

  • Accuracy or completeness of information

  • Quality or safety of products/services

9.2 Limitation of Damages

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages

  • Liability is limited to direct damages

  • Our total liability does not exceed amounts paid by user

  • Some jurisdictions limit liability disclaimers

9.3 Third-Party Products and Services

  • We are not liable for third-party seller conduct

  • Buyers purchase directly from sellers at their own risk

  • We facilitate but do not warrant transactions

  • Sellers are independent contractors

10. Indemnification

You agree to indemnify and hold harmless Instiy, its officers, directors, employees, and agents from:

  • Claims arising from your use of Platform

  • Violations of these Terms

  • Infringement of third-party rights

  • Illegal activity by you

  • Content you post or transmit

11. Dispute Resolution

11.1 Informal Resolution

Before legal action, parties agree to:

  • Attempt negotiation in good faith

  • Contact us with detailed problem description

  • Provide supporting documentation

  • Allow reasonable time for response (30 days)

11.2 Arbitration

Any unresolved disputes will be resolved through binding arbitration rather than court proceedings, except:

  • Small claims court proceedings (if allowed)

  • Injunctive relief for IP infringement

  • Claims initiated by Instiy

11.3 Arbitration Process

  • Single arbitrator selected per industry standards

  • Arbitration conducted in English

  • Each party bears own legal costs

  • Arbitrator's decision is binding and final

  • Limited appeal rights

11.4 Class Action Waiver

You agree not to pursue class action claims. Disputes must be resolved on individual basis.

12. Intellectual Property Infringement and DMCA

12.1 DMCA Procedures

14. Termination and Suspension

14.1 Termination by User

  • You may request account deletion anytime

  • Pending transactions must be resolved

14.2 Termination by Instiy

We may terminate your account without notice if:

  • You violate these Terms

  • You engage in illegal activity

14.3 Effects of Termination

  • Access to Platform is immediately revoked

  • Pending transactions are canceled

  • Refunds processed according to policy

  • Content may be retained for legal purposes

15. Conduct and Community Guidelines

15.1 Professional Standards

  • Maintain respectful communication in accordance with Ghanaian cultural values

  • Respond to inquiries within 24-48 hours

  • Use clear, professional language

  • Provide accurate information

  • Be honest in all transactions

  • Comply with Ghana Consumer Protection Act fair trading provisions

  • Not engage in deceptive or misleading business practices

16.2 Feedback and Reviews

  • Reviews must be factual and from personal experience

  • No fake, paid, or manipulated reviews

  • Reviews should address product/service quality

  • Constructive criticism is encouraged

  • False or defamatory reviews may result in legal action

  • Abusive language, tribal/ethnic/religious discrimination results in review removal and account termination

  • Reviews must not contain personally identifiable information

16. Ghana-Specific Legal Compliance

16.1 Data Protection and Privacy

Instiy complies with:

  • Data Protection Act, 2012 (Act 843) - All personal data handling

  • Ghana's Constitution, Article 28 - Right to privacy

  • Criminal Code provisions on data confidentiality

  • Ghana National Data Protection Authority regulations

16.2 Consumer Protection

Instiy complies with:

  • Ghana Consumer Protection Act - User and buyer protection

  • Fair trading and anti-fraud provisions

17. Modifications to Terms

We may update these Terms at any time by:

  • Posting updated terms on the Platform

  • Sending notification email to registered users

  • Announcing changes on our website

Material changes include 30-day notice. Your continued use constitutes acceptance.

18. Severability

If any provision is found unenforceable:

  • That provision is modified to maximum extent permitted

  • Remainder of Agreement remains in effect

  • Invalid provision doesn't affect other provisions

19. Entire Agreement

These Terms constitute the entire Agreement between you and Instiy regarding your use of the Platform and supersede all prior negotiations, representations, and agreements.

20. Governing Law and Jurisdiction

  • This Agreement is governed by and interpreted in accordance with the laws of the Republic of Ghana

  • Disputes shall be subject to the jurisdiction of the High Court of Ghana

  • For consumer disputes, the Ghana Consumer Protection Bureau may provide alternative dispute resolution

  • Arbitration may be considered in accordance with the Arbitration Act, Ghana

  • You submit to the exclusive jurisdiction of Ghanaian courts

  • Rights granted under Ghanaian law and Ghana's Constitution cannot be waived

  • In case of conflict between these terms and Ghanaian law, Ghanaian law prevails
